Subhub Student Housing Platform
1. Introduction and Acceptance
1.1 Agreement to Terms
Welcome to Subhub ("we," "us," "our," or "Subhub"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Subhub governing your access to and use of the Subhub website located at subhub.ca (the "Website"), mobile applications, and related services (collectively, the "Service").
1.2 Acceptance
By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not access or use the Service.
1.3 Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
- You are at least 18 years old
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the Service under applicable law
- You will comply with all applicable local, provincial, and federal laws
1.4 Student Verification
Subhub is designed for verified university students. You may be required to verify your student status through our verification process. Access to certain features may be restricted until verification is complete.
2. Definitions
- "Account" means the account you create to access and use the Service.
- "Content" means any text, graphics, images, music, software, audio, video, information, or other materials.
- "Listing" means a property listing posted on the Service by a user.
- "Posting" means a housing-related post or advertisement created by a user.
- "User" or "Users" means any person who accesses or uses the Service.
- "User Content" means any Content that you post, upload, publish, display, transmit, or otherwise make available through the Service.
- "Subhub Content" means all Content that is not User Content, including but not limited to text, graphics, images, music, software, audio, video, and the design, selection, and arrangement thereof.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and identification
- Accept all responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
3.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Subhub is not liable for any loss or damage arising from your failure to comply with this section.
3.3 Account Suspension or Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Misrepresentation of your identity or student status
- Failure to pay any fees owed to Subhub
4. Description of Services
4.1 Platform Services
Subhub provides an online marketplace platform that connects:
- Students seeking housing accommodations (rentals, sublets, roommates)
- Property owners and landlords offering student housing
- Users looking to sublet their current accommodations
4.2 Services Provided
The Service includes, but is not limited to:
- Property listing and search functionality
- User profiles and verification services
- Messaging and communication tools between users
- Payment processing (where applicable)
- Educational resources and guides related to student housing
4.3 Service Limitations
Subhub acts as a platform facilitator and does not:
- Own, sell, or lease any properties listed on the Service
- Guarantee the accuracy, completeness, or quality of any listings
- Endorse or recommend any specific properties or users
- Act as a real estate broker, agent, or advisor
- Provide legal, financial, or professional advice
4.4 Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
5. User Obligations and Conduct
5.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
5.2 Prohibited Activities
You agree NOT to:
- Post false, misleading, or fraudulent information
- Post listings for properties you do not have the legal right to rent or sublet
- Harass, abuse, threaten, or discriminate against other users
- Violate any applicable local, provincial, or federal laws or regulations
- Infringe upon the intellectual property rights of others
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Use automated systems (bots, scrapers) to access the Service without permission
- Circumvent or attempt to circumvent any security measures
- Collect or harvest information about other users without their consent
- Use the Service for any commercial purpose not expressly permitted
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
5.3 Student Verification Requirements
If you claim to be a student, you must:
- Provide accurate student verification information
- Use only your own student email address for verification
- Not attempt to verify using someone else's student credentials
- Maintain accurate student status information
5.4 Content Standards
All User Content must:
- Be accurate and truthful
- Comply with all applicable laws
- Not violate the rights of any third party
- Not contain offensive, defamatory, or illegal material
- Not contain spam, unsolicited commercial communications, or chain letters
6. Listings and Postings
6.1 Listing Accuracy
You are solely responsible for the accuracy and completeness of any listings or postings you create. You represent and warrant that:
- All information provided is accurate and current
- You have the legal right to list the property
- The property exists and is available as described
- All photos and images accurately represent the property
6.2 Listing Requirements
Listings must include:
- Accurate property address (exact address may be required)
- Accurate description of the property
- Accurate rental price and terms
- Current and accurate photos
- Availability dates
- Any relevant restrictions or requirements
6.3 Prohibited Listings
You may not post listings for:
- Properties that do not exist
- Properties you do not have the legal right to rent or sublet
- Properties that violate applicable housing laws or regulations
- Properties that discriminate based on protected characteristics
- Properties that are unsafe or violate building codes
6.4 Listing Modifications and Removal
You may modify or remove your listings at any time. Subhub reserves the right to remove any listing at any time, with or without notice, for any reason, including but not limited to violation of these Terms.
6.5 Listing Fees
Subhub may charge fees for certain listing features or premium services. Any applicable fees will be clearly disclosed before you commit to a paid feature.
7. Intellectual Property Rights
7.1 Subhub Content
The Service and Subhub Content are protected by copyright, trademark, and other intellectual property laws. You acknowledge that the Service and Subhub Content are the exclusive property of Subhub and its licensors.
7.2 Limited License
Subject to your compliance with these Terms, Subhub grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.
7.3 User Content License
By posting User Content on the Service, you grant Subhub a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the Service.
7.4 User Content Ownership
You retain ownership of your User Content. However, by posting User Content, you represent and warrant that:
- You own or have the necessary rights to grant the license described above
- Your User Content does not infringe the rights of any third party
- Your User Content complies with these Terms
7.5 Trademarks
"Subhub" and related marks are trademarks of Subhub. You may not use these trademarks without our prior written permission.
8. Privacy and Data Protection
8.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
8.2 Data Collection
By using the Service, you consent to the collection and use of your information as described in our Privacy Policy, including:
- Personal information you provide
- Information automatically collected through your use of the Service
- Information from third-party sources (where applicable)
8.3 Data Security
We implement reasonable security measures to protect your information. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.
9. Disclaimers and Limitations of Liability
9.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No Warranty
Subhub does not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service or servers are free of viruses or other harmful components
- The information on the Service is accurate, complete, or reliable
9.3 Platform Liability Limitation
Subhub acts as a platform facilitator and is not:
- A party to any rental or sublet agreement between users
- Responsible for the quality, safety, or legality of properties listed
- Responsible for the accuracy of listings or user information
- Responsible for the conduct of users
- A guarantor of any transaction between users
9.4 User Responsibilities
You are solely responsible for:
- Verifying the accuracy of all information before entering into any agreement
- Conducting due diligence on properties and other users
- Ensuring compliance with all applicable laws and regulations
- Resolving disputes directly with other users
- Obtaining appropriate insurance coverage
9.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any conduct or content of third parties on the Service
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
9.6 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBHUB'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SUBHUB IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
9.7 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Subhub, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service
- Your User Content
- Your violation of any rights of another
- Your violation of any applicable law
11. Dispute Resolution
11.1 Informal Resolution
Before filing a claim, you agree to try to resolve disputes informally by contacting Subhub's support team. We will try to resolve the dispute informally within 60 days.
11.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Subhub agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below.
11.3 Exceptions to Arbitration
You may opt out of arbitration and litigate claims in small claims court if your claims qualify. Either party may bring a lawsuit in court for:
- Intellectual property disputes
- Claims related to theft, piracy, or unauthorized use of the Service
- Claims for injunctive relief
11.4 Arbitration Process
Arbitration will be conducted by a single arbitrator in accordance with the rules of the Canadian Arbitration Association. The arbitration will take place in Toronto, Ontario, Canada, unless both parties agree otherwise.
11.5 Class Action Waiver
You agree that disputes will be resolved individually and that you will not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Contacting our support team
- Using the account deletion feature (if available)
- Ceasing to use the Service
12.2 Termination by Subhub
We may suspend or terminate your account or access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Fraudulent, abusive, or illegal activity
- Request by law enforcement or other government agencies
- Extended periods of inactivity
- Discontinuance or material modification of the Service
12.3 Effect of Termination
Upon termination:
- Your right to use the Service will immediately cease
- Your account will be deactivated
- Your listings and postings may be removed
- Your User Content may be deleted in accordance with our Privacy Policy
- All provisions of these Terms that by their nature should survive termination will survive
13. Changes to Terms
13.1 Right to Modify
We reserve the right to modify these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on this page
- Updating the "Effective Date" at the top of these Terms
- Sending an email notification (where applicable)
- Displaying a notice on the Service
13.2 Acceptance of Changes
Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.
13.3 Material Changes
Material changes will be effective 30 days after notice is provided, unless otherwise stated. Non-material changes will be effective immediately upon posting.
14. Governing Law and Jurisdiction
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
14.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of the Province of Ontario, Canada, and you consent to the jurisdiction of such courts.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Subhub regarding the Service and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Subhub's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without Subhub's prior written consent. Subhub may freely assign or transfer these Terms without restriction.
15.5 Relationship
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Subhub.
15.6 Force Majeure
Subhub shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, labor disputes, or internet or telecommunications failures.
15.7 Notices
All notices required or permitted under these Terms must be in writing and will be deemed given when:
- Delivered personally
- Sent by registered or certified mail, return receipt requested
- Sent by email (with confirmation of receipt)

17. Additional Terms for Specific Features
17.1 Messaging and Communication
- Users are responsible for their communications with other users
- Subhub may monitor communications for safety and security purposes
- Harassment, spam, or abusive communications are prohibited
- Users may report inappropriate communications to Subhub
17.2 Student Verification
- Student verification is required to access certain features
- Verification information must be accurate and current
- Subhub reserves the right to revoke verification at any time
- False or fraudulent verification may result in account termination
17.3 Geographic Restrictions
The Service is intended for use in Canada. Users outside Canada may have limited access to certain features.
18. Acknowledgment
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.
